1. Acceptance of Terms

By placing, confirming, or submitting an order with Avee Cocoseller ("Seller"), you ("Buyer" or "Customer") agree to be bound by these Terms and Conditions of Sale ("Terms"). Your order, together with these Terms, constitutes a legally binding agreement ("Agreement").

Any modifications to these Terms must be documented in writing and signed by authorized representatives of both Avee Cocoseller and the Buyer.

2. Business Hours & Contact Information

Avee Cocoseller operates Monday through Friday during standard North American business hours (Eastern Time), excluding provincial and national holidays in Canada.

3. Pricing & Payment Terms

Minimum Order Value

A minimum order value may apply depending on the products and delivery location. Please contact our sales team for current pricing and minimum order thresholds.

Payment Requirements

Unless otherwise approved in writing by Avee Cocoseller, all orders require full payment in advance. Payment must be received and cleared before production or shipment begins.

Payment Methods Accepted

• Bank transfers (wire transfer)
• Credit cards (Visa, Mastercard, American Express)
• Other methods as agreed in writing

Credit Terms

Credit terms may be available for qualified wholesale customers. Any approved credit is subject to change at Avee Cocoseller's discretion and must be documented in writing. Customers must maintain satisfactory payment history and creditworthiness.

Pricing Information

All prices are in Canadian dollars unless otherwise stated. Prices are subject to change without notice. The price at the time of order confirmation will apply to your purchase.

4. Custom & Made-to-Order Products

Custom products, special sizes, bulk packaging, or made-to-order items require advance deposits as specified at the time of order quote.

Deposit Policy

• Deposits are required before production commences
• All deposits are non-refundable once production has begun
• The remaining balance is due before shipment
• Custom products cannot be modified or cancelled after production has started

5. Taxes & Governmental Duties

All applicable taxes are the responsibility of the Buyer. This includes:

• HST/GST (Harmonized Sales Tax / Goods and Services Tax) in Canada
• Provincial sales taxes
• Import duties and customs fees (for international orders)
• Any other local, state, national, or governmental levies

All prices displayed are exclusive of taxes unless otherwise stated. Taxes will be calculated and added to your invoice based on your delivery address and applicable jurisdiction.

6. Delivery & Shipping

Delivery Timeline

Delivery dates provided by Avee Cocoseller are estimates only and not guaranteed. Production and delivery times depend on order volume, product specifications, and logistics availability.

Title & Risk Transfer

Title (ownership) and risk of loss transfer to the Buyer upon delivery at the agreed location. Once products are handed to the carrier, they are your responsibility.

Liability Limits

Avee Cocoseller shall not be liable for delays caused by:

• Logistics providers or courier services
• Customs clearance (for international orders)
• Weather conditions or natural disasters
• Buyer's failure to provide required delivery information
• Government actions or public health emergencies
• Supply chain disruptions beyond our control

Shipping Options

We offer shipping via various carriers (LTL freight, parcel services, or full truck load). Shipping costs vary based on order weight, dimensions, and delivery distance. Quotes are provided before order confirmation.

7. Inspection & Claims Process

Upon Receipt

You must inspect all products immediately upon receipt. Check for:

• Damage to packaging or products
• Correct quantities
• Visible defects or contamination
• Correct product specifications

Reporting Damage or Shortages

If you discover damage, missing items, or discrepancies:

1. Document everything with photos/videos
2. Note damage on the delivery receipt and ask the driver to sign
3. Contact the carrier immediately with your claim
4. Notify Avee Cocoseller within 48 hours with documentation

Product Defect Claims

Claims for product defects (moisture content, EC levels, mold, contamination) must be reported within 14 days of delivery. Provide clear documentation including photos, test results, and batch/lot information.

8. Returns & Refunds Policy

Return Authorization Required

No products may be returned without prior written authorization from Avee Cocoseller. Contact our sales team to request a Return Merchandise Authorization (RMA) number.

Non-Returnable Products

The following products cannot be returned under any circumstances:

• Custom-made or special-order products
• Products exposed to plant disease, mold, or contamination
• Products used in cultivation or growing applications
• Products altered, opened, or repackaged by the Buyer
• Personalized or branded products

Returnable Products

Approved returns of unused, unopened bulk coco coir products may be accepted within 30 days of delivery, subject to:

• Restocking fee (typically 15-20%)
• Return freight costs paid by the Buyer
• Original packaging and condition maintained
• RMA number obtained before return

Refund Processing

Refunds for approved returns are processed within 10-15 business days after we receive and inspect the returned items. Refunds exclude original shipping costs and applicable restocking fees.

9. Warranty Disclaimer & Limitation of Liability

Product Use & Technical Advice

Any technical advice or recommendations provided by Avee Cocoseller staff is offered in good faith without warranty. You assume full responsibility for:

• Determining product suitability for your intended use
• Testing products in your growing environment
• Following industry best practices and regulations
• Proper handling, storage, and application

Warranty Disclaimer

Avee Cocoseller disclaims all implied warranties, including warranties of merchantability and fitness for a particular purpose. We make no warranty regarding:

• Crop yields or harvest results
• Disease prevention or plant health outcomes
• Specific EC (electrical conductivity) or pH levels
• Suitability for organic cultivation

Limited Remedy

Avee Cocoseller's sole obligation for defective products is limited to replacement of the defective portion at no charge. This is your exclusive remedy for product defects.

Limitation of Liability

In no event shall Avee Cocoseller be liable for:

• Indirect, incidental, or consequential damages
• Special damages or damages beyond the purchase price
• Crop loss, reduced yields, or harvest failure
• Lost profits, business interruption, or lost revenue
• Damage to plants, facilities, or equipment
• Environmental contamination or regulatory fines

This limitation applies even if Avee Cocoseller has been advised of the possibility of such damages.

10. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. Both parties consent to the exclusive jurisdiction of the courts of Ontario for any disputes arising from this Agreement.

You waive any objection to venue and consent to personal jurisdiction in the Ontario courts.

11. Indemnification

You agree to indemnify and hold harmless Avee Cocoseller and its affiliates, officers, employees, and agents from any and all claims, damages, losses, or expenses arising from:

• Your use, handling, or storage of our products
• Your resale or redistribution of our products
• Your violation of these Terms or applicable laws
• Your breach of any representations or warranties
• Third-party claims related to your use of our products

12. General Provisions

Entire Agreement

These Terms, together with any order confirmation and written amendments, constitute the entire agreement between you and Avee Cocoseller regarding the sale of products.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

You may not assign or transfer your rights or obligations under this Agreement without Avee Cocoseller's written consent. Avee Cocoseller may assign its rights without notice.

Customer Representations

You represent and warrant that:

• You have the legal authority and capacity to enter into this Agreement
• You have sufficient financial resources to pay for your order
• You will use our products in compliance with all applicable laws
